Ultra Sponsor Registrant contract:

I. Introduction

​

For good and valuable consideration the receipt (and electronic agreement to) of which is hereby acknowledged (via purchase of the Ultra Sponsor Registration via furryinvasion.org/register), I, the Ultra Sponsor Registrant (herein within this contract known as the Member) do hereby agree to relinquish all rights of my character (hereby referred to as the "Original Character") for the creation of a themed item ONLY for the current year's ACFI event in which this ticket is purchased.  The in theme custom item for The Alamo City Furry Invasion (hereafter referred to as the ACFI) and their affiliated companies, successors, assigns and licensees will be for use and display in the promotion and sale of any and all ACFI event-in-theme item created by the ACFI ONLY during the period of this contract OR until any and all themed items are donated, sold or given away.  In the event any remain AFTER the current year's ACFI event in which this registration is purchased, any and all plush stuffed animal may be displayed, sold and/or broadcast for any purpose in any and all media now known or hereafter developed throughout the world, without limitation as to duration or frequency of use before, during and after the fulfillment of this contract. In addition, I, the Member, swear that I am the owner of the character in which all rights have been relinquished and I assume all responsibility for any intentional or unintentional fraud or infringement of rights and will not hold the ACFI responsible for any known or unknown acts of fraud or infringement.

II. Terms of the Ultra Sponsor Registrant contract:

     1. Exchange of Services
          a. The ACFI will accept any Volunteered services that is agreed to or part of the exchange of services in 
          this contract.
               i. Any services, materials or artistic creations produced by this contract that is given to any membership 
                  as part of their registration will not provide royalties to the Member. Any and all sales of any and all 
                  commissioned or Volunteered services by this contract sold at the ACFI convention store onsite or 
                  online will NOT entitle the Member to any royalties BEFORE, DURING and/or AFTER the convention.
               ii. Any and all sales of any and all services, materials or artistic creations produced by this contract that 
                  is sold, BEFORE, DURING and/or AFTER the convention of the Alamo City Furry Invasion AND after this 
                  contract period at the ACFI convention store onsite or online will NOT entitle the Member to ANY 
                  royalties. 
          b. In exchange for a paid in full Ultra Sponsor Registrations from the Member by May 1st 2020, the ACFI 
              will: 
               i. Work with the member to create an ACFI themed item of the Original Character, with final design subject to approval by ACFI, and 
               ii. provide them with an original of the single themed item created of their own Original 
                   Character AS WELL AS each additionally created ACFI themed items of any and all OTHER LIMITED paid in full Ultra Sponsor Registrations

     2. Period of contract
          a. During the period of contract shall be during the creation of the themed item, the ACFI and 
              member agree to
               i. Coordinate and communicate during the creation of the tehmeed item to ensure that the themed item

                  satisfies and is appropriate to the ACFI 2020 theme and convention, is compatible with the 
                  limitations of the tehmed item production process (in particular the limitation of materials and 
                  design, production cost, and deadlines inherent in the design and production process), and is within 
                  those constraints faithful to the description of the Original Character provided by the member.

     3. Conditions
          a. In the event the Ultra Sponsor Registrant Member Fails to coordinate or communicate with the ACFI 
              during the creation process of the Original Character themed item the Ultra Sponsor Registrant 
              Member will 
               i.  Forfeit their right to the involvement of the creation process of the single tehmed item
              ii.  The ACFI will continue the creation of single themed item without the involvement of 
                   the Ultra Sponsor Registrant Member.

I, the Member, represent that I am the purchaser of the Ultra Sponsor Registration described within this contract and agree to the terms in the "Introduction", and “Terms of Ultra Sponsor Registrant contract” and as the author of and owner of all rights in and to the Original Character as requested by this contract that I have the sole and exclusive right to make the within grant of rights, including but not limited to moral rights, that neither I nor anyone else has any contractual or other arrangements which will interfere with rights herein granted and warrant that the rights herein granted will not infringe on the rights of any third party and that the consent or permission of no other party is required by the ACFI, its successors, assigns or licensees in connection with the use of the Services. I agree to indemnify and hold the ACFI and its divisions, subsidiaries, affiliates, officers, directors, agents, employees, successors, assigns and licensees harmless from and against any and all liabilities, damages, suits and expenses (including reasonable attorney's fees and disbursements) arising either intentional or unintentional out of or in connection with the breach or alleged breach of any representation and/or warranty made here-under. 

The ACFI, its successors, assigns and licensees shall have the right to alter, edit, modify, adapt, reproduce and illustrate (as appropriate) the Services or Media for any use and sale. All right, title and interest in and to the requested services incorporating the Services and Media shall be vested in the promotion and sale of the ACFI and any of its subsidiary and affiliated companies, successors, assigns and licensees before, during and after the fulfillment of the contract. 

I waive any inspection or approval of the finished themed item and advertisement material and I release the ACFI and any of its subsidiary and affiliated companies, successors, assigns and licensees from any liability for any claim of alteration, optical illusion, or faulty mechanical reproduction. 

This agreement constitutes the entire understanding between the undersigned and the ACFI with respect to the subject matter herein.
